I acknowledge that by subscribing to MergeTalk, I accept the terms and conditions of the service. I also agree that it is my responsibility to ensure that anyone who uses my account and or software abides by these conditions. MergeTalk retains the absolute right to amend the Terms and Conditions without prior notice to its customers.

We may be required to amend the Terms and Conditions to be compliant with Government and business regulations. When this should occur, the changes will be posted on our website (www.mergetalk.com). We may also notify you by email depending on the nature of the change.
Your continued usage of the account and products will signify your acceptance to the Terms and Conditions.

MergeTalk irrevocably retains the right to discontinue, suspend, and amend any portion of the service at any given time. MergeTalk may impose restrictions on your accessibility to parts or the entire Service without prior notice or liability.

 

Eligibility

This Service is for the use of individuals who are eighteen (18) years of age and above and for other organisations that are legally operating under applicable law. By agreeing to these Terms and Conditions, you confirm that you meet the stipulated requirements.
MergeTalk however reserves the right to refuse to offer the service to any individual or organisation at our discretion. We may change the eligibility criteria without ant prior notice.

If for any reason we believe or suspect that information supplied to us at the time of registration becomes incomplete, untrue or falsified, we retain the right to terminate your account and the use of the service.

Whereas we aim to provide excellent uninterrupted service, we cannot guarantee the service would be free of faults. The service may be interrupted to allow for the correction of faults or to allow for maintenance of the service. MergeTalk will however endeavour to restore the service as quickly as possible.

We reserve the right to modify or terminate our service temporarily or permanently with or without prior notice and MergeTalk will not be liable to you or any third party in the event that we exercise our right.

Accepting the terms means you agree to ensure that through your own actions and those of another, the services of MergeTalk will NOT be used for illegal purposes. Your doing so or allowing another to do so will constitute a criminal offence. Such actions deemed illegal include but not limited to making of prank or hoax or offensive calls.

You also agree not to cause damage to this or any other system and you agree to indemnify MergeTalk against any liabilities whatsoever as a result of your action or inaction in violating this agreement. Such liabilities include legal expenses, losses, costs, claims and damages.

MergeTalk will not allow the publication on its website of any materials that is deemed as an infringement on the property rights of a third party or seen to be a violation of the rights of any third party. Materials that are seen to be an invasion of privacy, defamatory, libellous, racist, illegal, abusive and pornographic shall not be submitted through MergeTalk.

You also agree to comply with instructions as provided by MergeTalk regarding the service.


Limitation of Liability

MergeTalk will not be held liable to you in any way for the damage, loss or corruption of data, loss of profits or production, loss of operational time, non delivery, packet loss caused by the interruption of service or the use of software or any occurrence beyond our control.

MergeTalk does not guarantee the reliability, suitability or quality of the service or software with regards to being suitable for your purposes. By using the service you are agreeing that the limitation of this liability is appropriate. This however does not affect your statutory rights as a consumer. You may contact as at any time via email using the address given on the website (www.mergetalk.com).

MergeTalk will not be liable for any losses to you caused as a result of events beyond our control such as but not limited to a fault in or suspension of the services of a third party, power failure and or a loss of telecommunication equipment or any act of any authority or third party. If for any reason a court holds any part of this agreement as unenforceable, then the rest of the agreement will still stand to the extent permissible by law.


Termination

You may terminate your account at any time by destroying the materials and cease using your account. The license for use of this service will be effective until terminated. This license will terminate if you fail to comply with the terms set forth in the terms and conditions. If this should occur, no notice will be given to you to effect this termination. In the event of termination you agree to destroy all materials together with backup copies, printed or written and merged portions in any form.


Jurisdictional Issues

The service is controlled and operated solely by MergeTalk. MergeTalk cannot guarantee that materials in the service are suitable or available for use in your location. Usage of the Service is at your discretion and you are liable for compliance with local laws to the full extent to which they apply.


Indemnity

You fully agree to indemnify MergeTalk, hold MergeTalk and its subsidiaries, officers, affiliates, agents, co-branders, employees and or other partners harmless from any claim or demand including attorneys’ fees made by a third party as a result of your posting, submitting or transmitting through the service, your use of the service, your connection with the service, violation of the Terms and Conditions or your infringement of the rights of another person or entity.


Other

You agree that to state your location when you use the Service to call emergency numbers such as 999.MergeTalk offers IP telephony and as a result, can be used at different locations. If you fail to do so, MergeTalk cannot be held liable.
